Mergers and acquisitions of companies in the world market: positive and negative aspects

Abstract

One of the methods of corporate expansion is the purchase of another company, therefore in this paper, we discuss main concepts of these kinds of deals and main reason of the merger. In the historical context, we discussed the existing deals, their pros and cons also the problems and opportunities of the corporations which determine to make an M&A deals. The current trends in the market of mergers and acquisitions and the impact of these processes on the global pandemic caused by the corona virus (COVID19) and the consequent multifaceted constraints on the economy have also been discussed. The study discusses the market of the merger and acquisition of the United States, European countries and Georgia. The impact of this type of operation on both the business sector and the population as well as government. Using the example of Georgia, we discuss that part of the legislative framework that regulates Mergers and Acquisitions. This thesis consists of an introduction, four chapters, and corresponding subsections, which analyze the main aspects of the M&A deals in Georgia and abroad countries. The conclusion summarizes the main topics and gives recommendations of theoretical and practical significance based on the results of the research.

კომპანიების გაფართოების ერთ ერთ გზად უკვე დიდ ი ხანია იქცა კორპორაციული შერწყმისა და შესყიდვის ოპერაციები რომელიც თანამდეროვე მსოფლიოში დიდი აქტუალურობით სარგებლობს ნაშრომში განხილულია როგორც უკვე შემდგარი გარიგებების დადებითი და უარყოფითი მხარეები პრობლემები და შესაძლებლობები ასევე შერწყმისა და შესყიდვის ბაზრის დამახასიათებელი თანამედროვე ტენდენციები ამასთან გაანალიზებულია კორონა ვირუსით (COVID19) გამოწვეული გლობალური პანდემიის შედეგად ეკონომიკის მრავალმხრივი შეზღუდვების გავლენა შერწყმა შესყიდვის ოპერაციებზე. ნაშრომში განხილულია ამერიკის შე ერთებული შტატების ევროპის ქვეყნებისა და საქართველოს შერწყმისა და შესყიდვის ბაზარები ამ ტიპის ოპერაციების გავლენა როგორც ბიზნეს სექტორზე ასევე მოსახლეობასა და მთავრობაზე საქართველოს მაგალითზე წარმოდგენილია საკანონმდებლო ბაზის ის ნაწილი რომელიც არეგული რებს შერწყმა შესყიდვის ოპერაციებს. სამაგისტრო ნაშრომი შედგება შესავლის ოთხი თავისა და შესაბამისი ქვეთავებისაგან სადაც გაანალიზებულია კორპორაციული შერწყმისა და შესყიდვის ოპერაციების ძირითადი ასპექტები საქართველოსა და საზღვარგარეთის ქვეყნების მაგალითზე დასკვნაში შეჯამებულია რეკომენდაციები და მოცემულია კვლევის შედეგების საფუძველზე შემუშავებული თეორიული და პრაქტიკული მნიშვნელობის რეკომენდაციები
