Thesis “Change of shares of a charter capital in accordance with the national and international legislation” reviews the concept of a charter capital, it includes practical examples that refer to change of shares in charter capital that is specified by the articles of association based on majority of votes. Creation of special norms are discussed which will regulate fair distribution of a charter capital.
Minimal charter capital doctrine and its practical importance is reviewed in the thesis.
The resolution made in respect to change of charter capital based on articles of association is discussed in the text as a reverse effect for the association together with the ways of solving of this issue.
This thesis is focused on showing the importance of the role of legislative regulation in proportion of shares which appears during making of contribution to charter capital.
The thesis is generally focused on changes made in charter capital and the ways of regulation of these issues through creation of special standards and developing of a judicial practice in a correct manner. Developing of Georgian legislation in a manner and application of a practice that doesn’t threat legal entities and order that exists in present reality.
