Piercing the corporate veil by German and Georgian law

In the thesis - “Piercing the corporate veil by German and Georgian law”, there is discussed the relation of using the doctrine on pass-through liability with the legal form of limited liability, independent legal entities and its economical analysis.
In the text there is also discussed the creditors with pass-through liability, and their types and differences as well as the purposes of tearing up the corporation veil.
Also there is discussed the basics of using the pass-through liability and specificity of its using in accordance with the law of Germany and Georgia.
There is also reviewed the special arrangememts of corporation veil pass-through as within the concerned circumstances of the law so upon the delictual relationship.
Proceeding from the aforementioned in the present thesis the attention is mainly drawn to the flaws of the Court System of Georgia and the ways of their improvement as by means of creating the specific imperative norms so by correctly forming the court practices with such harmonization and national practices or experiences of the Georgian Legislation in order not to endanger the economical order and independent legal entities as corporations existing in it.
