Abstract
The aim of master”S thesis is to study and analyze the existing regulations related to the reorganization of legal entities, its am is to study and analyze the existing regulation of legal entities, its aim is to present the peculiarities of this legal fact taking into account the changes made in the legislation of Georgia.
The major interest to create activities is to have a stable and growing income. That’s why private individuals are forming bussines sector and they are trying to establish themselves in the market. All of these need specific planing. Clearly, one of the leading roles in the initiation of this activity is to protect the legal points.
The topical of the master”S thesis stems from the fact , that in many cases a legal entity is created on the basis of reorganization or liquadated as a result of reorganization. According to the above mantioned the consideration of the reorganization of legal entities under private law as a legal fact is of special importance.
Based on all this the master”s thesis gives the concepts of legal entities of private law, covering their forms, more in-depth analysis of the following norms of liquidtion and reorganization, and extensive theoretical-scientific elaboration.
The paper is presented, in five parts, broken down into chapters and subsections. Parts I and V are the introduction and conclusion, and the main research is given in parts II-IV.
Part II sets out the concept of legal entities under private law, the existing regulations regarding theis establishment and liquidation.
Part III deals with the legal froms of a legal entity under private law, which are broken downs into chapters. Where each form and related standards are discussed.
Part IV deals with the reorganization of legal entities under private law, as well as the regulations related to the change of the legal form, as well as the reorganization obtained as a result of the merger an separation of the enterprise.
At the end of the master’s thesis research results are represented.
