დირექტორის მოვალეობები კომპანიის მართვის დროს

Abstract

The purpose of the work is to answer the questions relating to the Directorate's duties on the basis of comparative legal research on the basic obligations of the director in the management of the enterprise and in this regard in different countries. Thesis is presented with 54 computer printed pages which include the introduction, 3 chapters (which is divided into subchapters) ithe conclusion, and also it contains information about used literature. The first chapter deals with the general provisions of who can be regarded as the director, and what types of management are corporations and the role of the director in the specific "management" model. The second chapter will discuss the director's obligations during the management of the company and will also review the BUSINESS JUDGMENT RULE concept of the role played by the directors. The third chapter will explain the selected methods of research and will review the results of the survey, based on the selected methods of research, and what the results have been established.

ნაშრომის მიზანია შედარებით სამართლებრივი კვლევის საფუძველზე პასუხი გასცეს მნიშვნელოვან კითხვებს დირექტორატის მოვალეობებთან დაკავშირებით, თუ რა ძირითადი ვალდებულებები ეკისრება დირექტორს საწარმოს მართვის პროცესში და ამ მხრივ, როგორი სხვადასხვა ქვეყნებში. ნაშრომი წარმოადგენილია 54 კომპიტერული ნაბეჭდი გვერდი, რომელიც მოიცავს შესავალს, 3 თავს, (რომელიც დაყოფილია ქვეთავებად ) დასკვნასა და გამოყენებული ლიტერატურას. პირველ თავში განხილულია ზოგადი დებულებები,თუ ვინ შეიძლება იქნეს მიჩნეული დირექტორად,ასევე კორპორაციის რა მართვის სახეები არსებობებს და რა როლს თამაშობს კონკრეტული ,,მართვის’’ მოდელში დირექტორი. მეორე თავში განხილული იქნება დირექტორის ვალდებულებები კომპანიის მართვის დროს , ასევე განხილული იქნება BUSINESS JUDGMENT RULE ცნება, თუ რა როლს თამაშობს დირექტორების საქმიანობაში აღნიშნული ნორმა. მესამე თავში განმარტებული იქნება შერჩეული კვლევის მეთოდები და განხილული იქნება კვლევის შედეგები, ანუ შერჩეული კვლევის მეთოდების საფუძველზე რა შედეგი მივიღე და მის საფუძველზე რა დადგინდა.
